Dear Shareholders:

It is my pleasure to speak with you today and to discuss all of our various corporate developments to date as well as share our plans for the year ahead. As Chief Executive Officer of NXT Nutritionals, it is my intent to regularly inform our shareholders and the investment community of our progress, as we become uniquely positioned to capture a significant share of the alternative sweetener market with our great tasting and healthier sweetener, SUSTA™ Natural Sweetener.

As you already know, SUSTA is a cutting-edge, natural sweetening system that is poised to revolutionize the alternative sweetener marketplace. It has minimal calories, no lingering aftertaste and is all-natural. Not only does SUSTA sweeten the taste of food without all of the side effects of sugars or chemicals, it also contains healthy probiotics; vital dietary fiber; antioxidants and key cellular nutrients – leading to an increased metabolism. SUSTA simultaneously supports the health of your bones, heart, and immune system. This is in contrast to many of the other leading sweeteners in the marketplace, which either use chemicals to achieve their sweetening effects or are natural sweeteners with no added health benefits.

SUSTA is currently being sold as a stand-alone sweetener in a 50-packet box and is in our Healthy Dairy® Yogurt Smoothies. In addition, we recently announced the launch of our baking version of the sweetener, which is currently available for pre-order on our e-commerce site, http://www.sustastore.com/.

We have also announced that the product has been authorized in The Kroger Co., one of the nation’s largest grocery retailers with 2008 sales of $76.0 billion. This establishes a footprint into the Midwestern region.

I am privileged to have two great role-models and advocates to healthy living, actor Blair Underwood and National Basketball Association star Shaquille O’Neal, as spokespersons for our product. Brand awareness of SUSTA is a crucial component to better promoting all of our products. With the added health benefits of SUSTA, especially for diabetics and people with weight management issues, we intend to partner with a number of health organizations to also endorse SUSTA.

We believe that 2010 will be an extremely exciting year for us. We have already seen a great response to our SUSTA™ Natural Sweetener, and we expect to see continued brand recognition by consumers, retailers, the health community and the medical community. SUSTA’s potential increase in popularity will be driven by the simple fact that consumers are looking to reduce the amount of sugar they use and are looking to eliminate artificial products from their diet. We believe that SUSTA is the healthiest alternative to sugar currently available.

I expect the Company to meet several milestones this year as we move into a growth phase.

We will continue to add retail distribution for our product so that we may have a national presence in grocery chains across the country. Our goal is to be in over 5,000 locations this year and to expand the SUSTA product line by adding additional “SKU’s”.

The Company will continue to grow both the SUSTA and Healthy Dairy product lines in additional distribution channels other than grocery chains that will include contact feeders, big box stores, drug stores, health and nutrition stores and fast food restaurants. As we continue to build brand and product awareness, SUSTA can easily be incorporated into the table top sweetener caddies in restaurants.

As more and more food and drink products are being produced to meet the demand of the more health conscious consumers, we will be looking to partner with other food companies to have SUSTA™ Natural Sweetener as the sweetener of choice in their products. These companies will be able to offer their consumers a product with a much healthier sweetener than is currently being used.

In addition, we will look to expand upon our Medical Advisory Board to help the Company address the health problems surrounding, obesity, poor nutrition and diabetes. I intend to capitalize on the Boards expertise and guidance in addressing these growing issues as we look to provide the consumer scientific insight, health and wellness information on the benefits of using SUSTA.

In conclusion, over the last several years, we were in the developmental stage, planning and preparing to launch our products. Today, we have built the infrastructure and positioned a great team of experts to take us to the next level. Brand Awareness Campaign Enlists National Celebrities

Shaquille O’Neal, National Basketball Association star, Eddie George and Blair Underwood Public Face of Susta™ and NXT Nutritional Holdings, Inc.

Shaquille O’Neal will be a spokesman for NXT Nutritionals to educate children and adults about how SUSTA™ Natural Sweetener can help them curb the country’s growing epidemic of obesity and diabetes and increase market awareness of the SUSTA brand. O’Neal is a 15-time NBA All-Star, 4-time World Champion, 3 time NBA Finals MVP and is currently playing for the Cleveland Cavaliers.

O’Neal stated his goal is to educate children and adults that SUSTA is the first sweetener that helps maintain a healthy lifestyle because SUSTA not only tastes great, but also contains probiotics as well as important vitamins and minerals.

Shaquille O’Neal will support the Company’s national awareness campaign for SUSTA Natural Sweetener because it is the only sweetener that is all-natural, low glycemic, contains soluble fiber and probiotics, vitamins C, B6 and B12 and essential minerals and that helps to maintain healthy blood sugar levels, aids digestion as well as supports the immune system.

In 2007, Shaquille hosted a reality TV show on ABC, “Shaq’s Big Challenge,” which featured O’Neal’s effort to help six severely obese middle school aged children from Broward County, Florida to lose weight and gain a healthy lifestyle. The children all started out overweight and were unable to produce adequate results in the President’s Physical Fitness Test and by the end of the challenge they had all lost weight and passed the President’s Physical Fitness Test in all areas.

Eddie George, a Heisman Trophy winner, will promote SUSTA™ Natural Sweetener and Healthy Diary® Yogurt Smoothies in its nationwide expansion.

To raise awareness of the SUSTA brand when SUSTA arrives in Kroger stores in the Columbus, Ohio, area, Eddie George will be making in-store appearances, local television and radio interviews.

George has been an advocate for improving health and wellness among Americans. For the past three years, he and his wife Taj have teamed up with Dr. Oz on “The Dr. Oz Show.” Together they coached and motivated the moms throughout the 2009 NFL season as part of a national viewer challenge to inspire moms and families everywhere to improve their health. The winner of the challenge was announced on the website of the “The Dr. Oz Show.”

In 2006, George was named a spokesperson for Tennessee’s GetFitTN program by Governor Phil Bredesen. GetFitTN is a statewide awareness program to address the rising epidemic of Type 2 diabetes and risk factors that lead to diabetes, such as obesity. This initiative is aimed at educating both adults and children that Type 2 diabetes can be delayed or even prevented with modest lifestyle changes such as increasing physical activity and a healthier diet.

Blair Underwood, an American television and film actor, director, producer and entrepreneur Blair Underwood, will serve as the national spokesperson for NXT Nutritionals and its SUSTA™ Natural Sweetener. For over 20 years, Mr. Underwood has had a successful career playing a wide variety of roles on numerous television and feature films, including his breakout role as a brash attorney on the popular legal drama “L.A. Michael McCarthy, President & CEO / Director

NXT Nutritionals, Inc. is led by entrepreneur and food and beverage industry veteran Mike McCarthy, an executive with over 25 years of experience in the sector. He is the former Vice President of Pepsi-Cola’s Fountain Solutions. While at Pepsi, he was responsible for the development and integration of their Citrus Hill juice products. Michael was also instrumental in the negotiation and subsequent integration of Hawaiian Punch into the Pepsi-Cola system. The results of this assimilation increased fountain sales more than five hundred percent. Mr. McCarthy was also a key component in a national sales effort that was successful in landing several large national accounts. Additionally, he was part of a special acquisition team that was working to increase Pepsi-Cola’s fountain presence.

As an entrepreneur Michael has been the driving force behind the development of numerous beverage products. He was responsible for the development of Juice Creations, a product that was successfully launched in Massachusetts and then expanded nationally. After selling his business, Juice Creations, to Pepsi Cola, Mr. McCarthy built the Juice Creations product line into a $63 million business in the first year after Pepsi Cola’s acquisition.

After his career at Pepsi-Cola, he was instrumental in the growth of Al’s beverage Company from a small independent manufacturer to one of the largest independent Royal Crown Cola fountain manufacturers in the United States. In his position as COO of Al’s Beverage Company Michael was responsible for building and operation of one of the most modern independent fountain plants in the country.

Richard M. Jordan, Executive Vice President, General Manager / Director

Richard Jordan is an expert in branding and sales promotions, with over twenty five years experience in sales, marketing and retail. He received a Bachelor of Science Degree in Advertising and Marketing from Arizona State University, and holds a Masters Degree from Cornell University in Business and Marketing.

After graduating from college, Richard began his career in the food industry with Nabisco Foods, Inc. After three years with Nabisco, Richard was promoted through various positions, achieving the position of Sales Manager, was honored as Salesman of the Year for Nabisco Brands and served as assistant to the Vice President of Sales and Marketing.

In 1983 Richard joined The New York State Food Merchants Association, a lobbying and trade relations firm, accepting the position of Director of Trade Relations. In 1987 he was promoted to the office of Executive Vice President and General Manager, the position held until his resignation in 1991.

Richard then served as President at Jordan Associates Inc., a food brokerage firm, specializing in introducing new products from both small and fortune 500 companies. Prior to his current position at NXT, Mr. Jordan was Vice President of Sales for Healthy Dairy, LLC, now a wholly owned subsidiary of NXT Nutritionals, Inc. In addition to being past President of The Catholic Institute of the Food Industry, Richard chairs a committee on the Food Industry for Covenant House. He sits on the board of directors for the Deborah Heart and Lung Foundation in New Jersey. He also is on the advisory committee for Calvary Hospital in New York City.

Mark A. Giresi, Director and COO

Mark A. Giresi is a retail executive with almost 25 years of experience in various operations and legal roles in the United States and internationally. Most recently, he served as Executive Vice President, International for Limited Brands, Inc., a $9 billion dollar specialty retail business trading under the Victoria’s Secret, Bath & Body Works, White Barn Candle Co., and Henri Bendel brands. In that role, he led the development of the Company’s International growth strategy and the day-to-day management of the growth of Victoria’s Secret and Bath & Body Works outside of the United States. In May 2005, he was appointed EVP, Retail Operations, responsible for the Company’s Real Estate, Store Design and Construction, Visual Merchandising, Store Operations, and Loss Prevention and Brand Protection functions. He was on the Executive Committee of the Company, responsible for its strategy and the overall business performance of its branded specialty retail businesses.

Mr. Giresi joined Limited Brands in February, 2000 as Vice President of Store Operations and in August, 2001 was promoted to Senior Vice President, Chief Stores Officer for the Company’s almost 4,000 retail stores.

Prior to joining Limited Brands, Mr. Giresi was Senior Vice President of U.S. Franchise Operations and Development for Burger King Corporation, responsible for the restaurant operations and support to almost 8,000 franchise-owned and operated stores together with all real estate investments in the U.S. business. From 1993 through 1998 he held the position of Senior Vice President, Worldwide General Counsel and Secretary for Burger King. During that time, he was also a member of the Board of Directors of Restaurant Services, Inc., the independent purchasing cooperative for the U.S. Burger King System. He began his career with Burger King as a real estate attorney in 1985 and has published numerous articles and spoken on various franchise and intellectual property law topics. Mr. Giresi was a member of the first United States – South Africa Commercial Law Delegation established by the United States Department of Commerce and the government of South Africa.

Mr. Giresi has served on several philanthropic and business association boards, including the Board of Directors of the Beacon Council, the business development agency for Miami-Dade County, Florida, the Miami Philharmonic and the International Franchise Association. He currently serves on the Board of Directors of UFood Grille, a publicly-traded, franchised restaurant business, Fiduciary Trust International of the South, an investment management firm, and the Boys and Girls Clubs of Columbus, Ohio, where he served as the Treasurer and a member of the Executive and Human Resource committees.

Mr. Giresi is a past recipient of the Italian-American businessman of the year by the National Italian American Foundation in South Florida. In 2004, he received the Champions Award from Safe Horizons, a leading domestic violence prevention organization in New York City. He is an attorney at law of the State of New Jersey. He earned a law degree in 1983 from Seton Hall University and a Bachelor of Science degree in accounting in 1980 from Villanova University.

Ann E. McBrien, Director

McBrien is a veteran sales and marketing executive with more than 25 years of business experience, ranging from starting her own businesses to a leading national and international organization. She was the first female Vice President of Sales in Procter & Gamble (P&G) history in 1999.

From 1982 to 2001, McBrien’s held a variety of executive positions with increasing responsibility at P&G. During her tenure at the consumer foods giant, she was known for building strong relationships with major international retail clients, increasing global health care sales and developing a merchandising program, global pricing and promotion plans for global customers.
From 2002-2006, McBrien co-founded OT OverTime, LLC, a company with a line of hair and body care products for boys with the brand name “OT.” The company acquired the brand from P&G. OT OverTime introduced the line nationally to major retail chains, including the supermarket chain, The Kroger Co., and Target Corp., a national retailer.

Currently, McBrien is a consultant to Tremor, a division of P&G. Tremor, which provides clients with a word-of-mouth marketing program, has relationships with 400,000 moms to share brands and brand benefits of products marketed by other companies as well as P&G to their friends.
Ms. McBrien has a B.S. in Finance from the University of Illinois. She is active in educational and community organizations.

Paul S. Auerbach, MD, MS, Director

Dr. Paul S. Auerbach is a Professor of Surgery in the Division of Emergency Medicine at Stanford University Medical. He will be forming and heading the Company’s Medical Advisory Board. He is the former Professor and Chief of the Divisions of Emergency Medicine at Stanford and Vanderbilt. Dr. Auerbach is a founder and past president of the Wilderness Medical Society, editor of the definitive medical reference text Wilderness Medicine, 5th Edition, and author of Medicine for the Outdoors, which is a leading book on outdoor health for laypersons.

Dr. Auerbach practices emergency medicine, teaches, performs research, and advises numerous agencies and organizations, including serving as an advisory board member to the AARP “Fat 2 Fit” Community Challenge. Dr. Auerbach has been hailed as a Hero of Emergency Medicine by the American College of Emergency Physicians. He also serves on the National Medical Committee for the National Ski Patrol. Dr. Auerbach is a recipient of numerous awards including the DAN America Award from the Divers Alert Network, Outstanding Contribution in Education Award from the American College of Emergency Physicians, a NOGI Award in 2006 from the Academy of Underwater Arts and Sciences, Diver of the Year for Science in 2008 from Beneath the Sea, and DAN/Rolex Diver of the Year in 2009.

Dr. Auerbach is a graduate of Duke University and Duke University School of Medicine, as well as the Stanford Graduate School of Business.

Ted Mandes, Director

Ted Mandes is an experienced entrepreneur, executive and investor, however his philanthropic and charitable work is what he is most proud of.

Mr. Mandes played professional golf until 1975, and then entered the business world as an account executive in the ladies apparel business. After a successful stint in New York, he founded Mandes and Associates. It was during this time that Mr. Mandes honed his marketing skills to make his company one of the largest agents to the trade. During his career in the apparel business, Mr. Mandes developed divisions of Federated Department Stores, May co. JC Penny and other multiple store groups into multi-million dollar accounts for many of the major wholesale companies that his firm represented.

As an investor, Director and entrepreneur, Mr. Mandes has consistently recognized and understood trends well ahead of the rest of the market, from new innovations in apparel to developing inserts and needs for diabetic patients with conditions like peripheral neuropathy.

In 1994 he founded Bioform, Inc. with Stephen Warner, a pedorthic foot care company that dealt with orthopedic foot problems but also addressed the needs of diabetics. While developing this opportunity, the urgent need to address the alarming increase in the incidence of obesity and diabetes in the United States became apparent to Mr. Mandes.

Mr. Mandes sits on the Board of Directors of the Raymond F. Kravis Center and the Palm Beach Counties performing arts center. He also developed and chairs the Palm Beach Wine Auction, the most productive fundraising event for the performing arts center’s award winning education department. Ted’s mission “is to further advance the educational experience of our youth – it is more than just a cause it is an ongoing obligation.” Over 85,000 students have attended live performances camps and other workshops every year for the past 16 years.

David Deno, Director

David Deno is a veteran executive with over 27 years of experience in the restaurant industry having held various key positions including President, CEO and CFO of public and private companies.

Prior to joining NXT’s Board of Directors, Mr. Deno served as President and CEO for Quiznos LLC. Beginning in August 2006, he was a Managing Director with the private equity firm CCMP Capital Advisors, LLC an ownership partner in Quiznos which led David to his executive positions at Quiznos.

Prior to August 2006, he spent more than 15 years with YUM! Brands, Inc. (NYSE: YUM – News) and PepsiCo (NYSE: PEP – News). At YUM! Brands Mr. Deno served as Chief Operating Officer from October 2004 to February 2006 and as Chief Financial Officer from November 1999 to October 2004. He was instrumental in growing YUM! Brands and building shareholder value after its spin-off from PepsiCo in 1997. Mr. Deno also held senior positions in YUM!’s International and Pizza Hut divisions. Prior to joining YUM! David worked for Burger King Corporation (NYSE: BK – News) and The Pillsbury Company in various finance, real estate, and operations assignments.

He is the recipient of numerous awards, including the Daniel Hale Williams Award, the Banting Medal for Distinguished Service from the American Diabetes Association and Internist of the Year Award from the National Medical Association. He is also a recipient of the 2009 Living Legend in Diabetes Award from the American Association of Diabetes Educators. Dr. Gavin graduated with a degree in chemistry from Livingstone College, a doctorate in biochemistry from Emory University and a medical degree from Duke University.
